Terms of service

Fees, payment, term, cancelling and responsibilities — in plain English.

1. Who we are

These terms apply to services provided under the Getclearedby brand by ALIN-MARIAN AGAFITEI, Aleea Remus, nr. 4, 900190, Constanța, Romania (“we”, “us”). The service is for businesses and organisations with an ABN (“you”).

2. The service

We provide AI-assisted software for supplier bills, receivables and payment reminders, bank reconciliation and cash flow forecasting, in the modules and volumes set out in your quote.

3. How the contract is formed

The contract is formed when you accept our written quote. The quote sets out the plan, modules, volumes, AI providers used, where data is processed and the fees. Nothing can be bought or paid for on the website.

4. Fees and payment

  • Fees are in Australian dollars and exclude GST. GST is added at the applicable rate and shown on your tax invoice.
  • Setup is invoiced 50% on acceptance of the quote and 50% at go-live.
  • The monthly fee is invoiced in advance and paid by direct debit or EFT within 7 days.
  • If your volumes consistently exceed your plan, we’ll tell you. We only change your plan with your agreement.
  • We may change fees with at least 30 days’ written notice; you may cancel before the change takes effect.

5. Term and cancelling

The minimum term is 3 months from go-live. After that the contract continues month to month. Either party can cancel with 30 days’ notice by email. When the contract ends we provide your data in an exportable format and delete it within 30 days, unless the law requires us to keep it.

6. Your responsibilities

  • Review and approve bills, reminders, matches and payment batches before they are used.
  • Authorise payments yourself in your bank and verify any changed supplier bank details independently.
  • Make sure your use of customer and supplier data is lawful, including any reminders sent to customers.
  • Keep your logins secure and tell us promptly about unauthorised access.

7. What we don’t do

Getclearedby provides AI-assisted software for business administration. We are not a registered tax agent or BAS agent and do not give tax, BAS, financial or legal advice. We don’t make payments on your behalf, hold client money or act as a debt collector. Lodgements stay with you and your bookkeeper, BAS agent or accountant, and your authorised staff approve every payment and every message.

8. Data and confidentiality

We handle personal information in line with our privacy policy and the Australian Privacy Principles. Your quote and data processing terms name the AI and hosting providers we use and where data is stored. These providers don’t use your data to train their models. Each party keeps the other’s confidential information confidential.

9. Availability

We take reasonable care to keep the service available and give advance notice of planned maintenance. AI suggestions can be wrong, which is why every output is reviewed by your staff before it is used.

10. Liability

To the extent permitted by law, our total liability under the contract is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential loss. This doesn’t limit liability for fraud, wilful misconduct or anything that can’t be limited by law.

11. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law that can’t lawfully be excluded. Where the law allows us to limit our liability for a failure to meet a consumer guarantee, our liability is limited to supplying the services again or paying the cost of having them supplied again.

12. Disputes and governing law

If something goes wrong, please contact us first — we’ll try to resolve it within 14 days. If we can’t, either party may refer the dispute to mediation before going to court. These terms are governed by the laws of New South Wales, and the courts of New South Wales have jurisdiction.
